Terms of Use

These Terms of Use (“Terms”) are an agreement between you and Paste Panda (“Paste Panda,” “we,” “us,” or “our”) governing your access to pastepanda.com and its temporary device-to-device transfer service (the “Service”). By using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Paste Panda lets a user submit text and supported files, receive a short-lived claim code, and retrieve that content from another device before it expires. The Service is intended for brief transfers, not permanent storage, backup, archival, or emergency communications. Features, file limits, retention periods, and availability may change.

2. Eligibility

You must be legally able to enter into these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

3. Your responsibilities

You are responsible for the content you submit, the devices and networks you use, keeping claim codes private, retrieving content before expiry, maintaining independent copies of important content, and ensuring that your use complies with applicable laws and third-party rights.

We reserve the right to restrict access, remove content, preserve relevant records, and take other proportionate measures where reasonably necessary to enforce these Terms, protect users or the Service, or comply with legal obligations.

5. Content and permissions

You retain any rights you have in content you submit. You grant us a limited, non-exclusive license to host, copy, transmit, display, and delete that content solely as needed to operate, secure, and support the Service. This license ends when the content is deleted, except to the limited extent necessary for legal compliance or resolving abuse.

You represent that you have the rights and permissions needed to submit the content and permit this processing.

The Service operates as an automated, temporary transfer utility. We do not routinely read, scan, classify, endorse, or verify the legality or accuracy of submitted content. You remain solely responsible for your content and use of the Service. To the fullest extent permitted by law, Paste Panda is not responsible for unlawful distribution initiated by a user, without limiting any responsibility that cannot lawfully be excluded.

6. Claim codes and sensitive content

A claim code is the access credential for a transfer. Anyone with the code may be able to retrieve the content before expiry. Do not send passwords, private keys, access tokens, financial account data, health records, highly confidential business information, or other material whose disclosure could cause harm. Paste Panda is not a secure vault.

7. Availability, expiry, and deletion

Transfers are temporary and may become unavailable upon expiry, enforcement of applicable limits or policies, or interruption of the Service. Expiry indicates the end of availability; final deletion may follow within a reasonable operational period. We do not guarantee successful delivery, uninterrupted availability, recovery, or preservation of content.

8. Legal process and cooperation

We may preserve content-free operational records, restrict access, make legally required reports, and disclose responsive information when required or permitted by applicable law or valid legal process. Such records may include sender, claimant, failed-claim, and download IP addresses; timestamps; browser and device information; pseudonymous transfer references; transfer counts, byte totals, and outcomes. Operational and security records are normally retained for 180 days, subject to longer preservation for a valid legal hold, investigation, or statutory obligation.

9. Copyright concerns

Copyright holders or authorized representatives may send a sufficiently detailed notice to ask@pastepanda.com, identifying the protected work, the allegedly infringing material or transfer information available to them, their contact information, and a good-faith statement of authority. We will address valid notices in accordance with applicable Canadian law.

10. Third-party services

The Service may rely on hosting, network, domain, security, and other infrastructure providers. Their systems and terms may affect availability. We are not responsible for third-party services that we do not control.

11. Intellectual property

The Service, branding, interface, software, and related materials are owned by us or our licensors and are protected by applicable laws. Except as expressly permitted, you may not copy, modify, sell, sublicense, reverse engineer, or create derivative works from the Service.

12. Disclaimer

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, availability, security, or accuracy. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, Paste Panda and its owners, operators, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of content, data, profits, revenue, goodwill, or business opportunity arising from or related to the Service. Our aggregate liability for all claims relating to the Service will not exceed the greater of CAD $25 or the amount you paid us for the Service during the 12 months before the event giving rise to the claim. These limits do not exclude liability that cannot lawfully be excluded or limited.

14. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Paste Panda and its owners, operators, affiliates, and service providers from claims, damages, liabilities, and reasonable costs arising from your content, your misuse of the Service, or your violation of these Terms or another person’s rights.

15. Changes and termination

We may modify, suspend, or discontinue all or part of the Service. We may update these Terms by posting a revised version and changing the date above. Your continued use after updated Terms take effect constitutes acceptance. You may stop using the Service at any time.

16. Governing law and disputes

These Terms and any dispute arising from or relating to the Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Subject to any rights you may have under mandatory consumer-protection law, the courts located in Toronto, Ontario will have exclusive jurisdiction. Nothing in these Terms limits a right or remedy that cannot lawfully be waived, including applicable rights under Ontario consumer-protection legislation.

17. General provisions

If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. A delay or failure to enforce a right is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a reorganization, transfer, or operation of the Service. These Terms and the Privacy Policy constitute the entire agreement concerning the Service and supersede prior understandings on that subject.
